Terms of Service

By accessing and using Skyflux's website and services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our services.

These Terms of Service apply to all visitors, users and others who access or use our services. We reserve the right to update or modify these terms at any time without prior notice.

Skyflux provides digital marketing services including but not limited to affiliate marketing management, pay-per-click advertising, search engine optimization, social media marketing, email marketing, mobile marketing, e-commerce marketing, analytics and reporting, online reputation management, native advertising and digital consultancy.

All services are provided subject to these Terms and any additional terms specified in a separate service agreement or statement of work.

You agree to provide accurate, current and complete information as may be required for us to deliver our services. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

You agree not to use our services for any unlawful purpose or in any way that could damage, disable, overburden or impair our services.

All content, features and functionality available through our services — including but not limited to information, software, text, displays, images, video and audio — is owned by Skyflux or its licensors and is protected by copyright, trademark, patent, trade secret and other intellectual property laws.

Work product created specifically for a client under a service agreement becomes the client's property upon full payment of all fees.

Payment terms are as specified in individual service agreements. In general, invoices are due within 30 days of issuance unless otherwise agreed in writing. Late payments may incur interest charges as specified in the service agreement.

We reserve the right to suspend services for accounts with overdue balances after reasonable notice.

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the business relationship. This obligation survives the termination of any service agreement.

Skyflux will not disclose client data, campaign performance or business information to third parties without written consent, except as required by law.

To the fullest extent permitted by applicable law, Skyflux shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or goodwill, arising out of or in connection with these Terms or your use of our services.

Our total liability for any claims arising under these Terms shall not exceed the total fees paid by you for the relevant services in the six months preceding the claim.

Either party may terminate a service agreement with 30 days written notice unless a different notice period is specified in the agreement. Upon termination, all fees for services rendered through the termination date become immediately due and payable.

We reserve the right to terminate services immediately for material breach of these Terms or the applicable service agreement.

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in the applicable jurisdiction as specified in the relevant service agreement.
